Board members have a fiduciary duty to act in the best interests of the organization that they serve in an ethical manner. Some aspects of good governance, such as the management of a conflict of interest, are based on the circumstances and can involve a subjective assessment. Regulations require directors to declare their interests, so it is important to know how to manage this complex area.

This 1 day interactive workshop will cover:
• What constitutes a conflict of interest
• Case studies and examples of conflicts of interest
• Boards and Directors Roles and Responsibilities in relation to such conflicts
• Legal Duties of Boards
• Dealing with dilemmas: practical steps for managing conflicts of interest
• Global trends and best practices for dealing with conflicts of interest

Khalid Garousha, Partner in the Abu Dhabi office of Allen & Overy LLP.
Khalid an English qualified solicitor and has been practicing law in the Middle East since 2000. He specializes in corporate and corporate finance work and has significant expertise in international and regional transactions in the Middle East, including advising international and regional investment banks, multi-national companies, regional trading houses, international and regional public companies and private equity houses.

Jane Valls, Executive Director, GCC Board Directors Institute.
Jane is an accredited Corporate Governance trainer with the International Finance Corporation (IFC) and an accredited trainer with the Ethics Institute of South Africa, as well as being a Certified Ethics Officer. She was the first Chairperson of the African Corporate Governance Network from 2013-2015, a network which she helped to found, bringing together 17 Institutes of Directors from across the African continent. Jane has held senior positions and directorships in a wide range of business sectors with leading companies including British Airways, Sun International and The Rogers Group as well as running her own management and training consultancy. She has been decorated by the Republic of Mauritius as a Commander of the Order of the Star and Key of the Indian Ocean (CSK) for services to corporate governance.
